Chatmingo Terms of Service

1. Acceptance of Terms and Operator Identity

Welcome to Chatmingo. These Terms of Service (“Terms”) govern your access to and use of the Chatmingo mobile application, website, content, and related local discovery services (collectively, the “Services”).

The Services are operated by Island Data LLC (“we,” “us,” or “our”), a limited liability company organized under the laws of the State of New York. By downloading, accessing, or using Chatmingo, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

2. Strict 18+ Eligibility Requirement

Chatmingo is strictly for individuals who are at least eighteen (18) years of age. By creating an account, accessing, or using the Services, you represent, warrant, and certify under penalty of account termination that:

• You are at least 18 years old.
• You have the full legal power, capacity, and authority to enter into these Terms.
• You have not been previously banned, restricted, or removed from the Services for policy violations.
• All registration and identity information you provide (including name, birth date, and community location) is truthful, accurate, and current.

We do not permit minors under 18 to participate on Chatmingo. Any account found to be operated by or on behalf of an individual under 18 will be terminated immediately, and associated data will be permanently removed.

3. Account Registration, Security, and Termination

To use Chatmingo, you must create a member account using a valid email address and password, or supported federated authentication (such as Google or Apple sign-in).

• Credential Confidentiality: You are solely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately at support@chatmingo.com of any unauthorized access or security breach.
• Single Individual Identity: Each personal account may only represent one genuine individual. Creating duplicate, deceptive, bot, or fraudulent accounts is strictly prohibited.
• Voluntary Termination: You may delete your account and associated personal data at any time via the in-app Account Settings or by emailing support@chatmingo.com.
• Termination by Chatmingo: We reserve the right to suspend, restrict, or terminate your account at any time, with or without notice, if we determine in good faith that you have violated these Terms, engaged in harmful or unlawful behavior, or placed other community members or local businesses at risk.

4. User Content and Limited License to Operate

“User Content” refers to any photos, video clips, location tags, comments, posts, messages, Crew descriptions, profile text, reviews, and materials submitted by you through the Services.

• Ownership: You retain complete ownership of all intellectual property rights in your User Content. Nothing in these Terms transfers ownership of your photos, videos, or posts to Island Data LLC.
• Limited License to Operate: In order to provide the Services, you grant Island Data LLC a non-exclusive, worldwide, royalty-free, transferable license (with right to sub-license to our infrastructure and hosting service providers) to store, process, display, format, distribute, and reproduce your User Content solely for the purpose of operating, maintaining, moderating, and improving Chatmingo.
• Visibility Controls: This license operates strictly subject to your chosen in-app privacy and visibility settings (for example, private direct messages are not displayed publicly; public community posts are visible to local members).
• Responsibility for Submissions: You represent that you have all necessary rights, permissions, and consents to submit your User Content and that your submissions do not infringe any third party's intellectual property, privacy, or publicity rights.

5. Prohibited Conduct and Community Rules

Chatmingo is dedicated to fostering genuine, respectful, real-world connections across Long Island. You agree that you will NOT use the Services to:

• Harass, stalk, threaten, intimidate, defame, bully, or demean any person or business.
• Impersonate any person, business, brand, public official, or community entity.
• Upload or transmit sexually explicit content, pornography, gratuitous violence, or hate speech targeting race, ethnicity, religion, sexual orientation, disability, or gender.
• Transmit unsolicited commercial messages, pyramid schemes, chain letters, or bulk spam.
• Scrape, crawl, harvest, reverse engineer, decompile, or extract source code or user data without explicit written consent.
• Interfere with, compromise, or bypass the security, integrity, or network infrastructure of the Services.
• Promote, facilitate, or solicit illegal acts or violations of applicable municipal, state, or federal laws in Nassau or Suffolk Counties.

6. Moderation, Reporting, Blocking, and Appeals

To keep our community safe, Chatmingo provides direct member tools and administrative moderation:

• In-App Blocking: You can block any member at any time with 1 tap. Blocking prevents the blocked user from viewing your profile, sending you messages, or interacting with your posts.
• Content and User Reporting: You can flag any post, comment, message, or user profile for immediate review. Reports are investigated by human moderators and automated safety filters.
• Remedial Actions: Violations may result in formal warnings, content removal, feature restrictions, or permanent account banning.
• Appeals: If you believe an enforcement action was taken in error, you may submit an appeal to support@chatmingo.com within fourteen (14) days.

7. Business Accounts, Claims, and Community Offers

Chatmingo offers dedicated features for verified Long Island merchants, venue operators, and service providers:

• Authority to Bind: If you register or claim a business profile on Chatmingo, you represent and warrant that you are an authorized owner, officer, or representative of that commercial establishment with full legal authority to represent it.
• Accuracy of Business Data: You are responsible for ensuring that all business details, operating hours, addresses, contact numbers, and promotional representations are accurate and maintained.
• Responsibility for Offers: If you publish community perks, discounts, promotional Mingos, or offers, you are solely responsible for honoring those promotions for members who legitimately claim them according to the stated terms. Chatmingo is not a party to transactions between merchants and consumers and is not liable for merchant non-performance or product quality.

8. Commercial Terms, Payments, and Billing

Chatmingo is currently operating in an early-access, staged rollout phase. Consumer discovery and standard business profile claims are provided free of charge during this evaluation period.

9. Real-World Meetups, Crews, and Offline Activities

Chatmingo is a local discovery and coordination tool. We do not host, organize, supervise, control, or insure offline meetups, Crew gatherings, or events.

• Personal Responsibility: You acknowledge that participating in in-person activities with other members involves inherent risks. You agree to exercise common sense, good judgment, and appropriate personal safety precautions when meeting people offline.
• Public Venues Recommended: We strongly urge all members to conduct initial and group meetups exclusively in open, public, well-lit venues (such as public parks, town docks, cafes, restaurants, or community centers).
• Limitation of Liability for Offline Encounters: To the maximum extent permitted by New York law, Island Data LLC disclaims all liability for any acts, omissions, injuries, property damage, disputes, or harm arising out of or related to offline communications, gatherings, or events initiated through the Services.

10. Mingo AI Assistant and Reliance Limitations

Chatmingo features “Mingo,” an artificial intelligence assistant designed to help members discover local events, places, and activities across Nassau and Suffolk counties.

• Guidance Only: Mingo's recommendations are generated automatically based on place data, events, and member-curated tags. Information provided by Mingo is for general discovery and entertainment purposes only.
• No Professional Reliance: Mingo does not provide professional, legal, medical, safety, financial, or emergency advice. Always verify operating hours, event schedules, travel routes, and safety conditions independently.
• Potential Inaccuracies: While we strive for geographic accuracy, artificial intelligence systems can make errors or present outdated details. Island Data LLC makes no guarantees regarding the completeness, accuracy, or reliability of AI-generated responses.

11. Intellectual Property and Infringement Reporting (DMCA Notice)

Island Data LLC respects the intellectual property rights of creators and copyright owners and expects its users to do the same.

If you believe in good faith that any content hosted on Chatmingo infringes your copyright, you may submit a formal notification of claimed infringement containing the following details:

1. Identification of the copyrighted work claimed to have been infringed.
2. Identification of the material claimed to be infringing, including specific URLs or profile identifiers sufficient to locate it on Chatmingo.
3. Your contact information (name, mailing address, telephone number, and email address).
4. A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
5. A statement, under penalty of perjury, that the information in the notification is accurate, and that you are authorized to act on behalf of the owner of the exclusive right that is allegedly infringed.
6. A physical or electronic signature of the copyright owner or authorized representative.

12. Disclaimers and Limitations of Liability

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ISLAND DATA LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, NOR DOES IT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES OR THE ACCURACY OF ANY CONTENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ISLAND DATA LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, REPUTATION, USE, OR DATA), REGARDLESS OF THEORY OF LIABILITY. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.

13. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to your use of Chatmingo shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

14. Modifications to Terms and Contact Information

We may revise these Terms from time to time. When we make material changes, we will update the “Last Updated” date and provide notice through the mobile application or website. Your continued use of Chatmingo following the posting of revised Terms constitutes your binding acceptance of the changes.
